These Terms of Use ("Terms") are a legal agreement between you and Eagle Financial Technologies LLC (EF Tech) ("CalChamps," "we," "us," or "our") governing your access to and use of the CalChamps app, website, and related services (collectively, the "Service").
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Who We Are

2. Eligibility
You may use the Service only if:
- You are at least 13 years old (or the higher minimum age required in your jurisdiction), and
- You can form a binding contract.
If you are under the age of majority where you live, you represent that your parent or legal guardian has reviewed and agreed to these Terms.
The Service is not intended for children under 13.
3. Scope of Service
CalChamps provides tools for nutrition tracking, weight and workout tracking, health progress insights, accountability partner features, and AI-assisted food analysis.
CalChamps is currently offered on iOS and may expand to other platforms.
4. Account Registration and Security
You may create or use an account through:
- Email/password,
- Google sign-in, or
- Anonymous/guest access (where available).
You agree to provide accurate information and keep it current. You are responsible for activity under your account and for safeguarding your credentials.
We may refuse, suspend, or restrict access to any account if needed for security, legal compliance, policy enforcement, or risk prevention.
5. Subscription, Billing, and Renewals
Some features require a paid subscription.
- Subscriptions are sold through third-party app stores and billing providers (for example, Apple App Store and Google Play).
- Paid plans may be monthly or yearly and may auto-renew unless canceled.
- You can manage or cancel subscriptions through your app store account settings.
- Prices, plans, and feature access may change as permitted by law and platform rules.
Account Deletion and Billing
Deleting your CalChamps account does not automatically cancel your subscription. You must cancel separately through your app store to avoid future charges.
6. Trials, Promotions, and Offers
We may offer free trials or promotions. Unless stated otherwise:
- Eligibility is determined by us,
- We may modify or end promotions at any time, and
- Trial conversions and renewals follow the terms shown at enrollment and your app store rules.
7. Refunds
Payments are generally processed by third-party app stores. Refund requests are typically handled under the app store's refund policies, unless otherwise required by law.
8. Health, Fitness, and Medical Disclaimer
CalChamps provides general wellness, nutrition, and fitness information only.
- CalChamps is not a medical provider.
- The Service is not intended to diagnose, treat, cure, or prevent any disease.
- AI and algorithmic outputs are estimates and may be inaccurate.
- You should consult qualified professionals for medical, nutrition, or fitness decisions.
If you believe you are experiencing a medical emergency, contact emergency services immediately.
9. AI Features
CalChamps may use third-party AI providers to analyze user inputs (such as food images or text descriptions) and generate results.
You acknowledge:
- AI outputs may be incomplete, inaccurate, or inappropriate,
- You are responsible for reviewing outputs before relying on them, and
- We may improve or change AI features at any time.
10. Accountability and Sharing Features
CalChamps may allow you to connect with accountability partners and share selected data categories (such as food, weight, workouts, hydration, and steps, where available).
You are responsible for what you share and with whom. Shared content may be visible to selected partners based on sharing settings and accepted invitations.
11. User Content
"User Content" means data, photos, logs, text, and other materials you submit or upload.
You retain ownership of your User Content. You grant CalChamps a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify (for technical purposes), and display User Content solely to operate, improve, and provide the Service.
You represent that you have the rights needed to submit User Content and that it does not violate law or third-party rights.
12. Prohibited Conduct
You agree not to:
- Violate laws or regulations,
- Harass, abuse, threaten, or impersonate others,
- Upload unlawful, infringing, or harmful content,
- Interfere with security, systems, or service integrity,
- Reverse engineer, scrape, or exploit the Service without authorization,
- Use the Service to send spam, fraud, or malicious code.
13. Intellectual Property
The Service, including software, design, logos, trademarks, text, graphics, and content (excluding User Content), is owned by EF Tech or its licensors and protected by law.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.
14. Third-Party Services
The Service may rely on third-party tools and platforms (including cloud hosting, analytics, notifications, AI providers, and app stores). Third-party terms and policies may apply to your use of those services. We are not responsible for third-party services we do not control.
15. Privacy
Your use of the Service is also governed by our Privacy Policy.
16. Suspension and Termination
You may stop using the Service at any time. We may suspend, restrict, or terminate access at our discretion, including for violations of these Terms, legal risk, abuse, fraud, or security issues.
We may retain certain records as required by law, legitimate business needs, or backup/technical processes.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- CALCHAMPS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
- CALCHAMPS' TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CALCHAMPS FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow certain limitations; those limits apply only to the extent permitted by law.
19. Indemnification
You agree to defend, indemnify, and hold harmless EF Tech, its affiliates, and their officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service,
- Your User Content,
- Your violation of these Terms or applicable law, or
- Your infringement of third-party rights.
20. Dispute Resolution; Arbitration; Class Action Waiver
Please read this section carefully.
Informal Resolution
Before filing a formal claim, you agree to try to resolve disputes informally by contacting support@calchamps.com. You and CalChamps agree to attempt an informal resolution for at least 30 days.
Binding Arbitration
If unresolved, disputes will be resolved by final and binding arbitration on an individual basis, except claims that may be brought in small claims court.
Arbitration will be administered by the American Arbitration Association (AAA) under its applicable consumer rules, unless the parties agree otherwise.
No Class Actions
YOU AND CALCHAMPS AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
Jury Trial Waiver
YOU AND CALCHAMPS WAIVE ANY RIGHT TO A JURY TRIAL TO THE EXTENT PERMITTED BY LAW.
Opt-Out Right
You may opt out of arbitration and class action waiver by emailing support@calchamps.com within 30 days of first accepting these Terms, with subject line "Arbitration Opt-Out" and your account email.
21. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law rules, except where preempted by U.S. federal law.
If arbitration does not apply, exclusive jurisdiction and venue will be the state or federal courts located in San Francisco, California, and you consent to personal jurisdiction there.
22. Export and Sanctions Compliance
You represent that your use of the Service will comply with applicable export control and sanctions laws, and that you are not located in or ordinarily resident in a jurisdiction where use is prohibited by law.
23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the app, website, email, or other reasonable means. The updated "Last Updated" date indicates when changes were made.
Your continued use of the Service after changes become effective means you accept the updated Terms.
24. Miscellaneous
- These Terms and the Privacy Policy are the entire agreement between you and CalChamps regarding the Service.
- If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our prior written consent. We may assign them as part of a merger, acquisition, restructuring, or asset sale.
- Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute resolution.
